Dan, It is my belief the consolidation here will take place at the same time as news is released regarding a merger. I think the consensus on this board is probably the same, and the filings seem to buttress this argument. The company announced its intention to change the corporate name as well as the share structure for a reason IMO due to the timing of their last filing. (Dec 27th) They also indicated their desire to complete this process by January 4 or soon thereafter.

My thinking has me believing that this company had a solid reason to file on the first business day after XMAS when in fact a "Definitive Information Statement" could've waited until the New Year if a deal wasn't pending. Otherwise I hardly see the urgency.

Yes, it has also been my experience that R/S can hurt a stock if nothing of substance is there to back it up, but in this case I don't think that will happen if only because this company has been engaged in discussions with potential suitors, only 3 insiders control the majority interest and probably want to see a transaction completed ASAP, and also because I think this management realizes how a R/S can hurt the shareholder if something concrete isn't offered along with such a proposal. JMHO FWIW
