I believe but am NOT a tax advisor or maven that when a company spins off or dividends out a sub which it has invested in it IS THE SAME AS A STOCK DIVIDEND and until sold has no tax effect but is part of the basis of the purchase. Most companies apply for a ruling at the time of the stock spin / dividend.
