Michael Dell's foundation to sell shares of Dell

WASHINGTON (CBS.MW) -- The Michael and Susan Dell Foundation filed to sell 2.7 million shares of Dell common stock, valued at $135 million, according to a Form 144 released by the Securities and Exchange Commission on Tuesday.

The foundation planned to sell the shares, which were acquired on May 2, 1984, through Credit Suisse First Boston.

SEC Form 144 only shows a filer's intent to sell shares. Actual verification of sales, when they occur, are required in later filings.

There are an estimated 2.5 billion shares of the Texas-based computer manufacturer (DELL: news, msgs) outstanding. The stock was trading down 1 1/8 at 43 on Tuesday.
