The purpose of the Plan is to advance the interests of Company and its stockholders by providing an incentive to attract, retain and reward Eligible Employees of the Participating Company Group and by motivating such persons to contribute to the growth and profitability of the Participating Company Group. The Plan provides such Eligible Employees with an opportunity to acquire a proprietary interest in the Company through the purchase of Stock. The Company intends that the Plan qualify as an "employee stock purchase plan" under Section 423 of the Code (including any amendments or replacements of such section), and the Plan shall be so construed. freeedgar.com Also, I received an e-mail from Dr.Dan Lange some time ago, after the ASA/MA symposium that he chaired, in which he stated that while GMGC and other companies who host these type of conferences do not immediatly benefit from them, indirectly they benefit a lot. As a company they become the choice of leading technology minds when they consider career moves... FWIW I still don't believe the VP's leaving will slow General Magic. General Motors has a huge technological pool of resources to draw from and now sits on the board. The Onstar deal, while still in it's early stages is showing the potential for great revenue streams. This Onstar thing is for real. GM has launched a HUGE campaign and is virtually overhauling their business model towards the internet. I don't think they will just drop the ball here, and I do think GMGC will get swept up as the GM pack rolls towards the end zone...profits. ..This old horse still has a few laps left<g> Just a few thoughts, Regards, JM
