I speculate that Seabridge is too important to Siemens. If Siemens loses out in buying Newbridge, it does not want its competitor to own Seabridge. This transaction may imply that Siemens lost out in bidding for Newbridge.

SEABRIDGE:

Why the Seabridge deal? It does not look like a deal that generates a lot of cash.

It could mean NN is being acquired by somebody other than
Siemens and their joint interests are being decoupled, prior to such a takeover.

Pure speculation on my part, not based on any fact.
