Microforum Announces a Special Warrant Financing /NOT FOR DISTRIBUTION TO U.S. NEWS WIRE SERVICES OR DISSEMINATION IN THE U.S./ TORONTO, Jan. 13 /CNW/ - Microforum Inc. (TSE:MCF) announced today that the Company has entered into an engagement letter with a syndicate of underwriters led by TD Securities Inc. and including Nesbitt Burns Inc., Taurus Capital Markets Inc., Paradigm Capital Inc. and Canaccord Capital Inc. with respect to a private placement of Special Warrants. The Company expects the size of the offering to be for minimum gross proceeds of approximately $40,000,000. The offering is subject to, among other things, receipt of all necessary stock exchange approvals, board of director approval, the completion of definitive documentation and due diligence by the underwriters. Each Special Warrant will be priced in the context of the market upon completion of marketing and will be exchangeable for one Common Share of the Company.
