I was looking at the HLIT and CUBE merger, and trying to understand how the stockholders benefit from the semi disposal.

HLIT at about 90.
1 cube = .54 hlit - 48.6 for cube in hlit shares

Current price CUBE = 65
Premiume for semi part = 17 (65 - 48.6)
#shares of cube = 41

Market's 'premium' for semi = 697 million.

I can understand a spinoff to shareholders, but as a sale how do CUBE shareholders benefit directly, other than the proceeds from sale which would be transferred to HLIT. How do you put a premium on that other than the increase in cash for HLIT?

Is this right?
