Only shareholders living in Sweden pay capital taxes there.
In what country, or on which stock exchange, a company is listed, is not relevant to tax paying in Sweden. Neither is shareholders citizenship, only residence matters.

As to the LOIL/RSO merger, perhaps they need to merge if they want any new concessions in Libya? I think a new block is waiting for them later this spring, but RSO doesn't have the financial muscles. A business combination may also help to speed up things in NC-177 (exploration, development, approvals etc).
