This is going to be an exciting year for PanAmerican BanCorp and our
shareholders. We are well underway in implementing the revised business
plan that has resulted from the critical restructuring of our operations.The
reengineering of PanAmerican has created a company that can capitalize
on the combined talent and resources that have existed throughout the
Company. We can now achieve greater cost efficiencies and productivity.

The new business plan includes a strategy that I feel will produce a
significant return to our shareholders and enhance the success of all
PanAmerican BanCorp ventures. It is our intention to consolidate the
financial services and banking portions of our company and spin them off
into a new entity. We have contracted with attorneys to prepare a
registration statement under regulation SB. Each shareholder of
PanAmerican BanCorp will receive shares of the new company as a stock
dividend. An investment banking firm has agreed to take the lead in
launching this new company. We anticipate NASDAQ listing and a well
financed banking and financial services company to emerge. Stay
tuned&…;
