John, Thank you very much for that valuable feedback. I will present these 2 concerns to my local attorney tomorrow to see if they ring true. If so, then it may be necessary to remove provisions in the agreement that grant voting power to the limited partners, so that they have no authority/responsibility that oversteps the legal bounds of a limited partner. Requiring a "witness" portion in the signature block is surprising, but I'll make sure we're O.K. there as well. I will let everyone know the outcome on this thread tomorrow ASAP. Regards, David
