What I don't get is how the company can justify a $1.5 billion dollar market cap and then turn around and sell 22% of the company for $10 million. According to their own "fire sale" prices, the company is only worth $45 million. That's $1.97, a share!!!! Any comments.

Thanks for the reply - should be interesting when it makes the move. I'm still kicking about the fact that my CPA mentioned this to me when it was at 3 last fall!

From what I've been able to discern, there are two thrusts to the smart-card idea; UPGD is persuing the memory-storage angle and the other is a company called Precis, using an intelligent-card with an on-board processor.

Precis is going public late Jan or early Feb as PSPS - might be worth watching. I see that Bank of America is using them.
