OSI will now only be listed on the TSE. Not a big deal, but I'm not sure it does much to improve the stock's poor liquidity...I never really paid attention to how much traded on the junior exchange.

the Canadian Venture Exchange, effective January 31, 2000

NORTH VANCOUVER, BC, Jan. 31 /CNW/ - Offshore Systems International Ltd.

Trading Symbol: OSI

John Jacobson, President and CEO of Offshore Systems International Ltd. (the "Company') announced today that the
Company's shares, which are currently listed for trading on both Toronto Stock Exchange and Canadian Venture
Exchange (the merged Alberta and Vancouver Stock Exchanges), will be de-listed from trading on the Canadian Venture
Exchange effective January 31, 2000. The Company will continue to be listed for trading on the Toronto Stock Exchange.

The Company, along with other inter-listed companies, is being de-listed from the Canadian Venture Exchange as a result
of a new stock exchange policy that prohibits companies from being listed for trading on both the Toronto Stock Exchange
and the Canadian Venture Exchange.

While the Company would prefer to remain inter-listed on both exchanges in recognition of the Company's roots, the
Company believes that it is in the best interest of the shareholders to choose to retain the TSE listing because of the TSE's
position as the pre-eminent Stock Exchange in Canada.

Offshore Systems International Ltd.'s TSE Symbol is "OSI". Offshore designs, develops and markets the ECPINS(R)
(Electronic Chart Precise Integrated Navigation System) line of electronic chart navigation systems. Worldwide, the
technology has been hailed as the most significant advance in marine navigation since the advent of radar over 50 years
ago.

I'm sure I read somewhere that OSI might be breaking even (or better) this quarter. A quick calculation with ~$1.5 million fixed costs and gross margin of 45% gives about $3.5 million + in revenues this quarter. With the amount of time they're taking to release year-end results, it better mean that they're REALLY busy.
