Part of it depends on how you value CUBE semiconductor, which CUBE holders will have after DiviCom spins off to HLIT. HLIT is now at 112, CUBE at 75.

.54 * 112 = 61, but discount the deal by 10 percent until it occurs, 61 * .9 = 55 which is what CUBE holders get as HLIT shares. CUBE at 75, 75 - 55 = 20. So if you think CUBE semi is worth more than 20, CUBE is a better deal.
