No problem, I don't think the comments were all that thoughtful. At least, they didn't take me that long to post. <GGG>

My father oftens says that the single most difficult document for a lawyer to draw is a partnership agreement. It is critical that every conceivable disaster be anticipated, in writing, in advance. Because the one that you don't (as a lawyer) draft into the document, inevitably is the one that creates and/or accelerates the debacle nobody wants.

Me? I learned never to draw a Partnership, I just litigate. Lots of room to hide your mistakes, and always someone to blame.

BTW, I do think an ADR provision in conformity with SC law would be a good idea.
