January 24, 2000 "Across The BullBoards": Breaking Rumors & Views Before They're News By Kate Jade (kjade@stockhouse.com) BullBoards Columnist Across The BullBoards: MCF Investors Angry Over Report On CEO's Shady Past MCF Investors Angry Over Report On CEO's Shady Past Microforum E-Commerce Services -------------------------------------------------------------------------------- 'dv8tr' caused tidal-sized waves on the Microforum [T.MCF] board Monday with the following post: "Just off the phone with US broker regarding any news that they may have or heard re: MCF and SEC filing. In the discussion, it was mentioned that the [president]/CEO of MCF has a felony conviction in the US. He stated that the SEC has a strict policy that no individual whom has felony conviction may be involved with a publicly traded company on any of the US exchanges, no exceptions! Can anyone comment on this and if it is fact, what does it mean to MCF's ability to list on Nasdaq?" 'di7026' disagreed and implied that 'dv8tr' had been misinformed: "Your concern with Pearl's past for MCF being listed on the Nasdaq is not warranted since MCF already got the approval of their 40F application. If Nasdaq does not allow listing due to someone's past, I don't think they would have approved the 40F." The heated discussion regarding MCF CEO Howard Pearl's shady past stemmed from a Canada Stockwatch business report released today. 'Singularity' blasted the report in his BullBoards? commentary, calling it "not news?not even a newspaper article." 'mhorwood' saw the report as "an opinion of someone who sees the potential of MCF and knows how to try and get in at lower levels." 'dtrom' simply believes that "bringing up [Pearl's] past?was poor taste." The fur also flew as poster opinion was split on the ongoing Nasdaq debate; will MCF file to list on the Nasdaq next week? "There is no Nasdaq listing!" 'wrdg' vehemently declared. "?I talked to IR at MCF and they told me that there is a lot of confusion and that no way they will be on the Naz in a few weeks." 'wrdg' went on to voice the presumptions of those, who believe the anticipated Nasdaq listing won't be anytime soon: "?MCF hasn't even applied for a Naz listing!! They have filed a 40F which means they have to fully [report] in accordance with SEC regulation in the US. This is the first step for applying for a Nasdaq listing. But first they have to apply and then it takes 30 to 60 days. There will be no Naz listing until MCF applies and they haven't even applied yet, trust me call Investor Relations if you don't believe me?" 'King Pin' didn't believe and expressed his doubts about the credibility of 'wrdg's' post: "Assuming you really did talk to someone at MCF, do you really think they would tell you that they had applied or not...no way if they have to surprise everyone with application/listing news; they are not going to tell you about it. I am not saying that they will list this week or next, but just because they told you they haven't applied...well, it doesn't mean anything." 'stangelj' weighed in with his two cents by saying he "won't bet on" MCF seeing Nasdaq exposure in the next week: "King Pin, if MCF has not applied for Nasdaq and an investor asked, there would be no problem in them confirming that it has not happened yet. However, if they have applied and told an investor, but had not announced it, then I would have a problem?I for one do not believe they have applied yet? I think getting a listing in 48 hours from application might be possible - I just have not seen it happen to anyone else. Most times the hold-up is on the SEC filing side but in MCF's case this is already complete. So, I'll leave the door slightly open for a listing this week, but I won't bet on it. My guess is it will take 3 weeks from the date they apply - only because I don't think the Nasdaq moves that fast. For those not using CALMS, it quite often takes more than 48 hours to just get a personal loan approved, let alone a Nasdaq listing." Click here to view the Stockwatch report first posted by 'mulder' and see if you agree the references to Howard Pearl were in "poor taste." Is 'syl98's' suggested target date for a Microforum Nasdaq listing (March/April 2000) reasonable? Post your comments and predictions to the MCF forum.
