NEW YORK, Jan 27, 2000 (BUSINESS WIRE) -- TD Waterhouse Group, Inc., a
leading online financial services firm and the world's second-largest
discount broker (NYSE/TSE: TWE), today announced its intent to enter a
marketing agreement with AnnuityNet.com to create an "Annuity Center"
for TD Waterhouse's U.S. web site, making the firm the first online
broker to offer this product.

The Annuity Center, scheduled to debut in the 2nd quarter of 2000 at
www.tdwaterhouse.com, will provide U.S. investors with access to low
cost, tax-deferred variable annuity products and related educational
information.

Additionally, AnnuityNet.com will design a separate web site for TD
Waterhouse's U.S. independent financial advisors that will allow them
to manage their clients' variable annuity investments online.
