Others can answer this better, but I think that because the deal is inherently risky you get a discount now if you buy ETEK. I.E> if it goes through, any purchase of ETEK now, esp. calls, is a better "deal" than JDSU...but you could just end up with ETEK shares that crash if the deal fails.

But everybody thinks the deal will go through.
