This prospectus is useful because it all the info you would expect to find in the 10k, including the audited financial statements, and much more. The 10k hasn't been filed yet, so this gives us our earliest look at this info.

Working capital will triple or more, after the offering. That should be useful, because they burned $9 M cash in operations in 1999 and $5 M the year before. The burn in 1999 looks like it was mostly inventory buildup due to the ramp in the cyclical upturn.

There are no specific acquistions planned right now:

A portion of the net proceeds may also be used to acquire businesses, products or
technologies that are complementary to our business. However, we have no
specific acquisitions planned, other than our agreement in principle to acquire
RF Services, Inc., a company majority owned by Brad Mattson, our chief executive
officer, for a price anticipated to be equal to the net book value of its assets
of approximately $300,000.


Here's the headcount:

As of December 31, 1999, we had 443 employees. There were 104 employees in
manufacturing operations, 96 in research, development and engineering, 200 in
sales, marketing and field service and customer support, and 43 in general,
administrative and finance.


BTW, I'd speculate that Brad paid off his loan from the company last quarter in order to clean that up before this offering.

Heard that that BS did pick up coverage and their target was $50.

This had a great deal to do with the recent run-up. Time will tell if the rumor is true :')

to BS is being added with a target of $70 :')

Ñ: Bear Sterns initiated coverage of MTSN with a buy on 08/02/99. There are five brokers with buys on MTSN. H & Q never had a target price, Soundview raised its target price to 22, but the other three have target prices ranging from 15 to 18. MTSN recently traded at nearly 36 and I find it strange that not one of these analysts has bothered to raise the price target. I suspect this is testimony to the fact that these analysts think of MTSN as an after thought at the present time. That's probably a bullish indicator. Phil
