Active Voice Acquires PhoneSoft

Unified messaging software developer Active Voice has acquired privately held PhoneSoft, a messaging product developer for the Lotus Notes platform, the companies said Monday.

Terms of the deal were not disclosed.

The move will extend the reach of Seattle-based Active Voice's messaging products, which have been closely integrated with Microsoft's platform architecture. Active Voice plans to integrate PhoneSoft's technology and experience with Lotus products into its Unity product line, company executives said.

PhoneSoft, San Diego, was founded by the developers of Lotus Phone Notes, an early telephone integration with Notes, and now has installations that answer over one million calls per month. PhoneSoft customers include IBM, The New York Times, Lotus, Sony, NASA, and Kodak.

In general, unified messaging products manage voice mail, e-mail, faxes, and pages, and let users check their mail from a phone or PC. The products are also deployed in applications ranging from sales force automation, course registration, conference room reservations, time reporting, order entry dictation, remote forms creation workflow automation, and help desks.

In related news, Active Voice reported record fiscal third quarter earnings late last Friday and declared a two for one stock split. The company reported a loss for the quarter of $1.2 million, or 24 cents per share, including a one-time charge to Lucent Technologies for technology licensing. Without that payment, Active Voice would have earned $490,000, compared to a year-ago period loss of $1.5 million, or 32 cents a share.

Also last week, the 16-year-old company initiated a cross-marketing partnership with Cisco to tie in its unified messaging products with Cisco's call processing software. Under the pact, the companies will combine Unity with Cisco's CallManager to form more integrated communications products. The agreement also calls for cross training and joint sales, support, and marketing activities.

Jack, the csco marketing agreement formalizes acvc products for csco's VAR channel. csco's Celisus acquisition got acvc in the back door, as that company was using acvc products. That's what I go from the CC. Not a bad thing to have at all. Will we find out what those terms were next Q on the Phonesoft acquisition?
