and the directors of Arequipa, who together hold approximately 23
percent of the issued common shares of Arequipa, which commits
them to tender their shares to Barrick's increased offer. J.
David Lowell, Chairman of the Board of Arequipa, is among those
who have agreed to tender their shares. The lock-up agreement
will be terminated in the event of another bid exceeding $31.50
which Barrick does not match and a break-up fee of $18 million is
payable to Barrick if another bid is successful."
