ANNUAL MEETING OF STOCKHOLDERS To Our Stockholders: The Annual Meeting of the Stockholders of Go2Net, Inc. will be held on Friday, March 17, 2000, at 9:00 a.m., Local Time, at The Bell Harbor International Conference Center, The Harbor Dining Room, 2211 Alaskan Way, Seattle, Washington, for the following purposes: 1. To elect five directors of the Company to serve until the next Annual Meeting of Stockholders as more fully described in the accompanying Proxy Statement. 2. To consider and act upon a proposal to ratify, confirm and approve the Go2Net, Inc. 2000 Stock Option Plan. 3. To consider and act upon a proposal to ratify, confirm and approve the selection of KPMG, LLP as the independent certified public accountants of the Company for fiscal year 2000. 4.
