Oufff,

Mr. David Power reports
A group of shareholders of Falcon Ventures International has formed a committee
to address certain administrative and operational matters of the corporation. Further,
the committee proposes to modify the business direction of the company and to
establish Falcon Ventures as a holding company engaged in business-to-business
e-commerce through a network of subsidiary companies which are or will be
engaged in the Internet and high-technology area. The intention is to take inspiration
from U.S. companies such as CMGI Inc. and Internet Capital Group Inc.
The committee intends to call a general meeting of shareholders for early April,
2000, to discuss the status of the corporation and the common concerns of Falcon
shareholders.
Meanwhile, the committee has taken steps on behalf of shareholders to ensure the
continuing good standing of the corporation with the regulatory authorities.
The committee sees no need for a share consolidation.
The committee proposes the election of new directors and the appointment of new
officers to take the company in its newly proposed direction. The focus will be on
the appointment of highly qualified personnel to revitalize and focus Falcon in its
proposed expansion. Accountability and enhancement of value for the shareholders
will be the paramount focus.
