World Am Communications In Merger Talks and Considers Reverse Stock
Split

TAMPA, Fla., Feb. 2 /PRNewswire/ -- Having existed as a non-operating publicly traded ''shell'' for 1 year, World Am Communications, Inc. (OTC Bulletin
Board: WACI - news), headed by Robert Esposito, has entered into a Letter of Intent to merge with a privately owned Colorado-based company with offices in
Denver, Colorado. Isotec, Incorporated is a manufacturer of Access Control systems.

Upon signing of the formal Merger Agreement, of which there is no assurance, WACI, which was originally in the Telecom business, will effectuate a 4:1 reverse
split of its .0001 par value common stock, giving its shareholders one new share of Isotec common stock for every four shares of WACI held. There are currently
114,000,000 shares of World Am issued and outstanding.

If approved by both Boards of Directors, the merger could be consummated and the reverse split completed within the next two weeks.
