Richard, managing underwriters do appear on the prospectus and on the tombstone. The reason they do is that are assuming financial responsibility for the issuance. Once it "prices" they are committed to delivering those $$$ (less their usual 5% fees of course) to the company issuing the stock. To help market the shares (or to spread the risk) they may use other firms to place the shares.
