I keep telling you all but you won't listen - the only rational acquirer of COMPAQ is CMGI! (he says as he stirs the pot!)

Benefits to CMGI

- beefs up its source of operational revenues giving it licence to do more "mutual fund" incubator activity:
- gets back the 18% of CMGI shares owned by COMPAQ:
- gets the 18% of Alta Vista still owned by COMPAQ;
- gets COMPAQ $3.5 billion in cash:
- gets the rest of the COMPAQ $8 billion portfolio:
- puts Alta Vista back with COMPAQ again where it belongs,
generating mutual leverages for both properties:
- uses COMPAQ to generate revenues from other CMGI properties:
- converts COMPAQ PC sales and low end servers to 70% direct channel by tearing up agrements with indirect partners:
- cuts 10,000 from COMPAQ payroll in 8 months:
- reduces COMPAQ product lines:
- appoints new CFO and new CEO with Capellas as head of AV:
- increases COMPAQ profits by 50% in 12 months:

Benefits to COMPAQ

- company retains its identity and mission with energised management and synergies created by Alta Vista and other CMGI comapny links:
- BoD and shareholders get paid in CMGI shares which they value more than they value COMPAQ shares:
- Rosen at last turns COMPAQ into an internet company:
