Vodafone and Mannesmann agree to merger

Britain's Vodafone AirTouch and German conglomerate Mannesmann conglomerate have agreed a friendly merger, it was
revealed today.

The US financial news service CNBC said Vodafone shareholders will get 50.5 per cent of the combined company and that
Mannesmann chairman Klaus Esser will leave.

CNBC said details of the agreement would be released later today.

Asked to comment on the reports, Vodafone Business Manager Clarke Richards told AFX News that they were "rumours".
Vodafone has launched a record all-stock hostile offer, valued at about $US180 billion euro ($A282.35 billion) which closes
on February 7.

"All I can comment on is that ... talks are going with the Mannesmann board, Esser and (Vodafone chief executive Chris)
Gent have met and we will put out another statement as soon as something firm has been decided," said Richards.

In Germany, Mannesmann said the company would issue no comment on the merger report until after a supervisory board
meeting scheduled from 3pm (0100 AEST). A statement was to be released afterwards, a company spokesman said
earlier.-AFP
