Novartis Debut Seen As Merger Prelude-WSJ

NEW YORK (Reuters) - Novartis AG (NOVZn.S) is hurrying to put the final touches on its planned listing at the New York
Stock Exchange -- a move widely viewed as a precursor to an acquisition or merger, the Wall Street Journal reported Tuesday.

The Swiss pharmaceutical company is expected to unveil a timetable for the U.S. listing of its American depositary receipts
(ADRs), on February 17, the same day it will present its financial results in London, according to the Journal. The company could
then make its debut on the New York Stock Exchange during the second quarter, the paper reported.

The company's thinly traded ADRs on the U.S. over-the-counter market have been an obstacle to its efforts to strike a deal with
a major U.S. drug company, the Journal said.

The company for months has been scouting for a merger partner to help boost slow sales growth at its flagship drug division. The
pressure for a merger has intensified amid the current drug-industry merger craze, which includes Glaxo Wellcome Plc's
(GLXO.L) proposed marriage with SmithKline Beecham Plc (SB.L)

In the summer, Novartis approached American Home Products Corp. (NYSE:AHP - news), about a possible deal, but was
rejected. An offer for Monsanto Co. (NYSE:MTC - news) also foundered and Monsanto agreed to a deal with Pharmacia &
Upjohn Inc.(NYSE:PNU - news), the report said.
