LONDON, Feb 3 (Reuters) - Germany's Mannesmann AG and Vodafone AirTouch PLC (quote from Yahoo! UK & Ireland: VOD.L) were poised to agree to merge on Thursday, ending a three-month battle for dominance of mobile communications in Europe.

Mannesmann's German subscribers come from its 65.2 percent stake in its Mannesmann Mobilfunk GmbH unit. Its Italian subscribers come from its 55.1 percent stake in Omnitel Pronto Italia SpA. Mannesmann owns British mobile operator Orange (quote from Yahoo! UK & Ireland: ORA.L) and Vodafone has offered to spin off Orange to avoid any EU competition regulatory hurdles.

Vodafone is a pure mobile telephone company. Its merger with AirTouch of the U.S. in January created the world's largest, most diverse mobile phone operator. Vodafone AirTouch has equity stakes in 24 operators in 23 countries on five continents.
