JDS Uniphase Completes $5.7 Bln Purchase of Optical Coating

San Jose, California, Feb. 4 (Bloomberg) -- JDS Uniphase
Corp., the world's biggest maker parts for fiber-optic
communications networks, said it completed its purchase of Optical
Coating Laboratory Inc. for about $5.7 billion in stock.

Optical Coating shareholders approved exchanging each of
their shares for 1.856 shares of JDS Uniphase. Based on JDS
Uniphase's closing price today, the company is paying $391.96 a
share for Optical, which has about 14.5 million shares
outstanding. Optical shares fell 9 5/8 to 390 3/8 today.

Acquiring Optical, which gets 95 percent of its filter sales
from JDS Uniphase, moves JDS toward its goal of doubling or
tripling production by the end of the year. JDS Uniphase's sales
to phone-equipment makers like Nortel Networks Corp. and Lucent
Technologies Inc. are surging as they race to buy lasers and
filters to meet demand for fiber-optic gear.

JDS Uniphase said in November that it expected the
acquisition of Santa Rosa, California-based Optical to add to
earnings per share immediately.

Shares of San Jose, California-based JDS Uniphase fell 4 5/8
to 211 3/16. The stock has risen more than 10-fold from a year
ago.
