BOMBAY, Feb 7 (Reuters) - India's BFL Software Ltd is planning to issue 6.5 million equity shares on a preferential basis to the US-based MphasiS Corporation, in exchange for all MphasiS's common stock equivalent securities, the firms said in a joint statement on Monday.

``Consequent to this transaction, MphasiS Corporation will become a wholly owned subsidiary of BFL Software Ltd,' the statement said.

BFL's board will meet on February 14, to consider the proposal.
