Jim I think this is all speculation so far for any takeover.ÿ
We have no hard data.ÿ
All you can do is read between the tea leaves.ÿ

I think it is a deal that is being played very close to the vest.Perhaps it is so becauseÿ
TM would like to give NN employees more time to buy stock cheaply before a run up.ÿ

Also as mentioned in one of the papers before, a buyer wouldÿ
ÿnot let on they are buying NN because that would drive theÿ
price up.ÿ

I have tried to read the tea leaves and I think so far everything points to ALA.ÿ

Initially ALA denied they where buying NN. But in the lastÿ
CC report the CEO refused to deny the rumor.ÿ

Somebody in YHOO said that employees in Scottia Bankÿ
( in NN campus )they are putting NN stock in their IRA's to avoid capital gains.ÿ

From the recent cc I found an interesting post from MikeM54321ÿ

Here are his comments ( with my notes, in bold ):ÿ

Re: 99Q4 CC Commentsÿ

ÿÿÿÿ Steve and Thread- Just for those that may be confused, the link Steve posted at:ÿ

alcatel.com;

has a small link on it labeled, "watch." If you hit anythingÿ
else on the page, it doesn't take you to the multimediaÿ
presentation where the speaker appears in a small frameÿ
while the slides can be activated by the viewer in
ÿcorrelation to the speaker. It worked very well for me.ÿ

ÿÿÿÿ Here are a few points I thought were significant.
ÿ
ÿÿÿÿ -They layed off 6,500 employees in 1999 and hired
ÿ6,000. Very strong indication they are serious aboutÿ
getting into high growth segments of the telecomÿ
equipment market.

ÿÿÿÿ -They have used up their tax loss carry forwards. Soÿ
this has me concerned.ÿ
The CFO addressed it, but I got lost with his taxÿ
explanations. If I'm not mistaken, the French may tax onÿ
gross income instead of net?ÿ
This is one reason being based in France concerns me.ÿ
Note: if they buy/have NN plants in Canada, will they be paying less tax?ÿ

ÿ-They need to create options for employees.ÿ
Directed targeted at the US labor market to keep good employees.
ÿEven though this is not an issue in France
it's a fact of life they appear to be dealing with.
( note: would buying NN give them the ability to have options? ÿ

ÿÿÿÿ -Slide...well it's not numbered so I can't identify it
ÿshort of listening to the presentation again.
But it's titled, "Focus on 5 high growth businesses."ÿ
I thought it was a key topic and of great importance toÿ
their future.ÿ

ÿÿÿÿ -It was interesting to listen to CEO Tchuruk's comments
ÿregarding his boasting on their mobile wireless Internetÿ
access solution, "Evolium." Clearly he is veryÿ hopeful for
ÿthis product line.<
b> note: would NN LMDS help in this? ÿ
ÿÿÿÿ -Evolium had made some kind of inroad with Mannesmann.
ÿMannesmann, as some may know, will be the largest wirelessÿ
communications serviceÿ provider in the world(after it isÿ
bought by Vodafone).ÿ
note: would NN LMDS help in this? ÿ

ÿÿÿÿ -I wish Tchuruk had said more about their NGDLCÿ
products as it relates to SBC's Project Pronto plans.
ÿBut maybe he thought saying they have a numberÿ
ÿone position in the US with DLC was enough.ÿ

ÿÿÿÿ -35 trials with LMDS is quite substantial. If this access technology takes off in Europeÿ
(I think he was referring to Europe?), ALA should be in a goodÿ position.ÿ
ÿLMDS being for real is somewhat verified by Newbridgeÿ
Networks previous comments about LMDS in Europe.
ÿ

ÿÿÿÿ -They re-verified they are a world leader in digitalÿ
cross connects,ÿ
ÿÿÿ ( note: important because that gets you into " the last mile aerea, very high growthÿ )ÿ
but they did say SDH only. Not sure what to make of that?ÿ
Sonet is king in the US. SDH in Europe.

ÿÿÿÿ -The enterprise stuff bothers me. I don't know muchabout it, but I still hopeÿ
they aren't planning on goin head to head with Cisco.ÿ

ÿÿÿÿÿÿÿÿÿ TAKEOVER:

ÿÿÿÿÿÿÿÿÿ Sitting here in Northern CA, I do not have the luxury of asking brokers, NN employees, people in the know:

ÿÿÿÿÿÿÿÿÿ -- is the deal done?
ÿÿÿÿÿÿÿÿÿ -- who?
ÿÿÿÿÿÿÿÿÿ -- when?
ÿÿÿÿÿÿÿÿÿ -- how much?

ÿÿÿÿÿÿÿÿÿ Those on the thread in Kanata or Eastern Canada--can you help us?

ÿÿÿÿÿÿÿÿÿ The Yahoo thread talks about an employee meeting this week,
ÿÿÿÿÿÿÿÿÿ but there is so much "noise" on that thread, and so many
ÿÿÿÿÿÿÿÿÿ nut cases, that I can't pay much atttention to that.

ÿÿÿÿÿÿÿÿÿ Who can help out?

ÿÿÿÿÿÿÿÿÿ Peppe, any suggestions?

ÿÿÿÿÿÿÿÿÿ Best wishes,
ÿÿÿÿÿÿÿÿÿ Jim

Sorry, can't confirm the NN employee meeting thing. However, I'd treat anything on the YHOO thread with a grain of salt.

ZO said it best, the tape is telling you that NN is going soon. Volume is still there, and it looks like NN will be announcing something other than there results.

Tough decision to buy at these levels though. First sign that TM is holding out for more money than is being offered and we could see low 20s in a hurry.
