I really don't see this as a disclosure infraction issue. Obviously it would be nice to know the other party, but i certainly do not see identification as a necessary condition prior to release. The info was already seeping out and i think the greater duty was to existing shareholders who did not have acess to the whispers that inevitably come out of a deal.

It reminds me of a subsequent event note on F/S. We need to identify the transaction but i would only mention names if the party was non-arms length.

To the extent that they were short of text, it may have had more to do with cutting the Jan 31st resolution off at the pass. I am sure no one wanted to issue more stock at the penny level.
