Andreas-- in the past it was more likely to tie options and bonus to a "rise in shareholder equity" than today. The method you describe is much more predominate but at times a BoD will find reasons to believe the value is not rising with in the same manner as fundamentals. Often that relates to PR or something else that needs over come. Often just a subtle message saying they are pleased with company performance and want to see it reflected in the stock price which is languishing. It is a tricky move to make getting the price to rise on merit and fact without hype that would allow it to quickly retreat,,,
