Another plea for help from the S.E.C.

Today I complained about XOMA keeping key parts of its agreement with Baxter
International confidential. It is important to add that XOMA is at this moment planning
a private placement.

Without better knowledge of the portions of Articles 4 & 5 the share price for this
offering is apt to be lower than it otherwise would be.

Please require disclosure prior to allowing the offering to proceed. The offering is being
made only to institutions and there is no reason why they should be favored with cheap
shares at this time.

Smaller and even large shareholders are totally in the dark about facts that have an impact
on the value of their holdings. Yet reasonable people, understanding the need for some
information to be withheld cannot make a case for keeping the information in the two
articles mentioned from all shareholders.

Please act quickly, and suspend the offering until you have had time to study this issue.
