Ok, from the Pcln SEC filing yesterday, a total of 3,015,087 shares were sold at $56.3075 on Feb-8-2000, by Pcln's insiders/VCs "General Atlanta partners".

Since the filing states a specific selling price of $56.3075 for all the shares sold, therefore I think that it was a private placement.
