FOCUS-Healtheon to buy rival as builds dominance

NEW YORK, Feb 14 (Reuters) - Healtheon/WebMD Corp. said on Monday it has agreed to buy main rival CareInsite Inc. and its parent Medical Manager Corp. for about $5.4 billion in stock, adding to its dominant position in the Internet business that seeks to link doctors with health service companies.

Under the terms of the transaction expected to close by midyear, Healtheon (NasdaqNM:HLTH - news) will swap 1.65 of its shares for each share of Medical Manager (NasdaqNM:MMGR - news), and 1.3 of its shares for the approximately 30 percent of CareInsite's (NasdaqNM:CARI - news) shares not already owned by Medical Manager
