Baltimore, Feb. 14 (Bloomberg) -- Michael Bowen, an analyst
at Deutsche Banc Alex.Brown, comments on a report from financial
news network CNBC that America Online Inc. is in talks to buy IDT
Corp.'s stake in Net2Phone Inc. Bowen rates Net2Phone ``buy' and
believes shares will reach $70 by year's end.

``When I called (Chief Financial Officer) Ilan Slasky, he had
not even heard the rumor yet. He could neither confirm or deny it.
IDT owns 48.1 percent of Net2Phone, (which) translates to about
25 million shares.'

``While I don't know whether this is really happening or not,
it makes sense. AOL already owns 5.3 percent of Net2Phone. They
were involved at the IPO, and given the relationship between
Net2Phone and AOL going forward -- i.e., this (ICQ) instant
messenger icon (on AOL's browser), it makes sense to drive
traffic.'

``AOL wants to control as much (revenue) as they possibly
can, so by owning a big piece of Net2Phone, it probably helps them
integrate the Net2Phone services within their browser so that
would be a positive.'

``I'm thinking they'll have to at least pay a 30 (percent) to
40 percent premium to where (Net2Phone) is right now.'

``I don't think investors were ever going to give IDT full
value for their ownership of Net2Phone while it was within IDT, so
it makes sense that IDT would want to monetize' its stake.

``I don't think IDT's going to want to own AOL stock;
(they're) probably going to want cash.'

Smear, respectfully, I doubt this will raise IDTC's image. In fact I would expect just the opposite when it's all done and over. Kind of proves HJ has been making it up as he goes IMO, and lower's his credibility even more in my mind. I believe the AOL rumor, and suspect it'll drag IDTC higher, kicking and screaming all the way. I suspect the company will not realize intrinsic value of other investments until they sell them as they are NTOP. You have to remember that IDTC has to be one of the most untrusted disliked companies we know.

My honest opinion.
