12,671,410 shares of common

stock outstanding with a net tangible book value of $1.39 per share

Upon completion of this offering, including the conversion of preferred stock into common stock to occur concurrently with the closing of the offering, Superconductor will have 12,671,410 shares of common stock outstanding. 10,212,919 of these shares will be freely tradable without restriction or further registration under the Securities Act unless such shares are owned by "affiliates" as that term is defined under Rule 144 under securities" as that term is defined under Rule 144.

There are a lot of cheap shares out there. The stock has gone up $342 million in two days.
