ImClone to Offer $150 Million in Convertible Subordinated Notes
NEW YORK--(BW HealthWire)--Feb. 18, 2000--ImClone Systems Incorporated (Nasdaq:IMCL - news) announced today that it intends to offer, subject to market and other conditions, $150 million principal amount of Convertible Subordinated Notes (plus an additional amount to cover over allotments if any) due 2005. The Notes will not be registered under the Securities Act of 1933, as amended, and will be offered through initial purchasers to qualified institutional buyers under Rule 144A of the Securities Act. The Notes would be convertible into ImClone Systems common stock at the option of the holder, at a price to be determined.

The net proceeds of the proposed offering would be used to fund research, development and clinical activities, as well as working capital and general corporate purposes.

This announcement is neither an offer to sell nor a solicitation of an offer

SAWS.. Are you tempted to short this?? Millions of shares sold by executive management in late January. CNBC reported yesterday that QCOM's new CDMA chipset will make SAWS receiver filter product unnecessary. SAWS press release denies everything. Stock got killed yesterday, and has bounced about 9 points this morning.

Am I on to anything here??
