DD on FSMEP (Class D Preferred Stock)

I called investor relations. I recommend you do the same.

Basically, they told me that beginning in the year 2002, you could
possibly receive a cash distribution of between $.01 - $.10 for this
Class D Preferred Stock. The distribution will be at the companies'
discretion.

NOTICE from the 3/97 10K (see below) where it says "when and if
declared" by the company. Also, the amount is "based on the adjusted
cash flow of Fresenius Medical Care from January 1, 1997 to
December 31, 2001."

HAS ANYONE CHECKED THIS CALCULATION? IS THERE ANY ADJUSTED CASH FLOW
TO DISTRIBUTE?

For those that are saying that this stock is "going to $.20," please tell
me the amount of ADJUST CASH FLOW that will be distributed up to this point
(from Jan 1, 19997 - Sep 30, 1999). This information should be available
from the SEC filings. If it is actually a positive number, then I may be
interested in buying this PREFERED STOCK.

Immediately following the Distribution, in a recapitalization, W. R. Grace
changed its name to Fresenius National Medical Care Holdings, Inc., and
each holder of Grace Common Stock received one share of the Company's
Class D Preferred Stock for each share of Grace Common Stock previously
held. Holders of the Class D Preferred Stock are entitled to receive, when
and if declared by the board of directors of FNMC, a Special Dividend,
payable in cash in annual installments beginning on October 1, 2002
(and in each subsequent year until the dividend is fully paid) in an amount
based on the adjusted cash flow of Fresenius Medical Care from January 1, 1997
to December 31, 2001.
