Don - As often, we agree on several issues: there are distortions in accounting and tax codes that have real-world impacts; the exchange economy is not a zero-sum game; current market conditions can make fundamentals 'almost irrelevant'. In accounting, all I want is consistent, logical reporting. Economic arguments are the province of analysis. ESOPs are plain, non-cash compensation with inconsistent accounting treatment. I wish FASB hadn't caved on SFAS 123. Alas, -mb
