Question: Could you differentiate the functionality of your applications

Hal Krisbergh I have known for many years and have
much respect for him. The fact that there
are 20 million people that have both
a TV And a PC colocated in a room does
present a now market for convergence.
I would agree with Hal that it is a transition
market, a market which to gain experience
and that eventually as advanced digital
set-tops or the streaming video to the
backbone of the Internet move forward that
the long-term market is a convergence
experience in one device.
Currently, there are very limited one device
outlets.
Sagecalc: Are you heading toward a one box solution yourself?
A: We're already there. We're not a hardware
company, so from our point of view we
can do one device or two device it's just a
question of the General Instruments and
the MOtorola's and the technology companies
that sell hardware putting more advanced
digital set top boxes into homes. That is
not our business, we're in the software business
and we can do one device today.
Question: Do you see Microsoft competing with you in the future
A: No one ever knows what Microsoft will do.
Clearly, in the digital set top space, OpenTV,
LIberate, PowerTV are more directly
competitive with Microsoft are doing very
well. Currently, Microsoft is not a competitor
to us.

Question: Do you have any numbers on the success of Austin Powers, Stargate, or
Question: the Acters Guild awards?
A: I think all of the shows have exceeded
our partners expectations. One of the
most interesting things has been that of
the various new features that HyperTV offers
that the sense of community or chat has
been the most powerful positive. When
viewers have an opportunity in a James
Bond movie and enter a chat room and
actually chat with one of the stars.
Or teenagers who are viewing a music video
can talk with their fellow friends about
their veiws on the video has gotten an
extremely positive response.
We think that the convergence experience
is going to continue to grow and that
eventually a majority of programmers will
offer it to their viewers.

A: The middleware companies, and
every set top box must have some operating
system, are companies that ACTV
expects to work with since we are an
application. Therefore, I would see ACTV
making deals with both OpenTV And
other middleware companies.
Question: Is ABC's enhanced tv infringing on your Intellectual property?
A: We get asked that question often. We clearly
perceive of ourselves as the pioneers
in the convergence space. We are encouraged
that other big companies are moving
toward convergence as a matter of
policy we do not make public comments
patent infringement potentials, but
our shareholders should assume
that given the 19 core digital television
and convergence patents that we have
that we will aggressively maximize the
value of those patents.

A: OpenTV's run-time applications and
overall technology offerings we like.
In particular, the picture-in-picture
application that was referred to in the
question offers sports fans some
limited additional features that we think
are of value.
However, our sports application is the
next generation of features that not only
offers viewers the ability to do full-screen
individualization but incorporates memory,
advanced sports advertising and is
by far the most compelling sports product
available today.
If one combined what ACTV does in
sports with the base level OpenTV
functionality, you have a dynamite
product.

A: I think that ACTV has been in the
trenches for over a decade. If you assume
that television will become digital and if
you assume that the ability to integrate
the Internet with video will be popular
then our company will emerge as the
largest new media company in the field.
We have had, I feel, the best vision.
The best product planning and our end
result will give the family a whole generation
of compelling entertainment. In the
Internet world, many companies
emerge from the trenches to become
giants. In the digital television world,
this has not yet happened.
The huge companies in digital television
and convergence will emerge from
the trenches just like they did in the Internet.
ACTV will be the leader of those
new companies and I believe our
potential growth is unlimited.

A; I consider that to be a question that
shows no knowledge of television.
In fact, when you turn on your television
set what is happening is the TV is
being pushed to you. A television is
program is being decided. It's
scripted, it's edited and sent to you.
What ACTV's hyperTV is a TV centric
approach to convergence. We are not an
Internet company. We are a convergence
and digital media comapny. In fact, by
pushing compelling content to the viewer
and HyperTV we are doing nothing more
than replicating what has been the
success of what makes TV work.
I agree with the question from a pure
Internet point of view, but ours is a radically
different model.
Therefore, we use the word push in a different
context.
Question: I noticed you signed a deal wiht a Dutch school system, do you plan on
Question: increasing your business in Europe and other continents?
A; The answer is yes, we have just finished a
follow on offering in which we raised approximately
130 million dollars. One of the use
of proceeds is to build a business in
Europe and the plans are underway.
