I think a fair amount of people will take advantage of the offer. Keep in mind that they can sell 27% of their class A shares (shareholders have 1/3 of shares as class A, 1/3 as class B and 1/3 as class c), which is about 9% of their total.

I know of some management personnel who are taking advantage of the tender offer. Their reasoning is they are going to sell the shares which they have a cost basis higher than $60 tender offer to create of tax loss. I understand that this tender offer is being done to create enough shares for some UPS acquisitions to be made by June of this year. Lots of rumors.
