CNBC Interview:

207.235.5.146

Noam Lotan, CEO of MRV Communications (MRVC, CMGI, JNPR,
CSCO)

Company to buy Fiber Optic Communications

Reported earnings in line with expectations

Develops, makes and sells fiber optic components and computer
networking devices.

Over 80% of sales come from networking products

Opened 50,000 square foot photonic facility to accommodate growth and
is dedicated to research and development

Approximately 824 employees worldwide

Went public December 1992, founded in 1988

Mr. Lotan said:

Sharpening focus on optical, getting rid of non-optical. In the business
of creating and managing growth opportunities in the optical space. Like
CMGI, a company of companies. Business is to manage fiber optic
companies. Initially in data networking, moving forward to the optical
business, was the core business from the day they started.

Do manufacture products, but business model is such that they are
preparing to spin off the operating unit.

Mark Haines asked this is a prudent move?

Mr. Lotan said:

The opportunities are enormous. The optical space is in full growth.
They need to structure those operations independently, each with their
own charter, following their own destiny. Trying to create entities
focusing on a specific purpose-i.e. optical access division, in this case
can talk about full-scale acquisition.

Charlotte's Web operations:

Addressing a multi-billion dollar opportunity. Company is addressing the
core of the Internet infrastructure, right down to space currently
occupied by JNPR and CSCO. Charlotte launching into that space.
Charlotte has its own router, has an opportunity which is interesting
because can tie the old world telephony to the new IT based economy.

MARKET REACTION TODAY?

This has become a "story" stock in a "story" market.

Did the story get better yesterday? I think so.

For those of us who have been hearing the story for some time, there is naturally some wondering:

"when is some PART of the IPO story actually going to happen?"

For the newer participants in this story, I would imagine what they heard was still ok.

Fascinated to find out what happens in terms of analyst upgrades/downgrades.

If we don't suffer a sizeable hit today, I think that is a sign that the "story" is still intact (and maybe even growing).

Just to put all this into perspective--are you interested in this stock?

EPS $5.86
EPS growth rate 74.7%
PE 7.53

price is only
$44 1/16.

You get a $2.00 dividend.

It's Ford Motor ! Look it up.

Are we all smart? Crazy? Something else?

Best wishes,
Jim
