Richard, it depends on your specifics and the company's articles, bylaws and any stockholders' agreements. Generally, it is a push or you are screwed by the time it is all said and done, though. Go spend a few hours with an attorney.

Richard, thanks for the cheapskate alert. I can't help you in the dissenting shareholder bit. The only people I've known in that situation were mutual fund managers at what was once National Securities. And they got raped. But that may be an unusual situation.
