Roger, number of shares outstanding is indeed 12.7 million: Upon completion of this offering, including the conversion of preferred stock into common stock to occur concurrently with the closing of the offering, Superconductor will have 12,671,410 shares of common stock outstanding. 10,212,919 of these shares will be freely tradable without restriction or further registration under the Securities Act.
