G.K. GOH Securities-Outperform rating. "PCCW is paying a justifiable premium to secure control of C&W HKT if one takes into account that PCCW will unlock the hidden potential of C&W HKT. The enlarged PCCW-HKT which will have a market capitalization of US $70 billion will be too good for international equity investors to ignore."

Vickers Ballas-Accumulate rating. "The terms of the acquisition look favorable for PCCW as the valuation of C&W HKT is well below market expectations. PCCW will require at the most US $11.3 billion in cash to effect the merger which could be covered by its cash on hand and the sale of C&W's IDD and cellular assets. In doing so, PCCW would not incur a heavy financial burden from the merger."

* Faster roll out plans of PCC's Network of the World.
* HKT's human capital fills PCC's need.
* HKT's steady cashflows-HK $12 billion in annual cashflow will reduce need to rely on equity markets or debt financing to generate funds.

* Blue chip candidate potential. This opens speculation that it could soon become a Hang Seng Index or Morgan Stanley Capital Index Hong Kong Free Index constituent.
