SSP, <<AGTP(E)>> You may want to reconsider your view about AGTP as a shell. You may find it tough to buy any, I had to threaten my broker that I was pulling my account to get filled today. I see the MMs are also trying to shut down trading of the stock with a large spread, any trick they can use.

It is a pleasure to be here on the Value Holdings, Inc. Raging Bull board.
Good afternoon fellow shareholders.

First of all I would like to officially welcome Mr. Abe Kaplan to our team he joined us today as Executive Vice President and Chief Financial Officer.

I am prepared to answer your questions as you post them and as time permits. To
Help speed things up I am going to answer some of the questions that were posted earlier today.

1. Every month we receive many calls from owners of companies looking to sell to us. We review all these inquiries and pass on the ones we are interested in to our M&A consultants. We have considered construction companies.

2. Once we close on the Cutler acquisition we shall certainly attempt to increase their sales to Home Depot as well as other major retailers. Keep in mind that Harron Hardware our wholly owned subsidiary is a Castle Building Center authorized dealer 136 stores and presents a large sales opportunity to us.

3. We are presently getting quotes for our new remanufacturing plant and hope to proceed with it later this year. A date has not been set. An engineering implementation plan has already been completed. We will not speculate on the output or the effect it will have on our sales at this time. We do know however that the proposed new plant will significantly and positively affect our production and sales.

4. We are looking at e-commerce as a whole new market. We presently employ 4 full time programmers on staff and we will continue to develop our plans for that market.

5. Our web site is presently under ?re-development? and hope to make our presentation to the market in the next 30 days or so.

6. Integrated Wood Research is a company that I have owned for many years. It holds the patents to the opti-stress process. It will only be licensed to Network Forest Products. The license fee has not been established as of yet. The fee will be determined by independent auditors so that the company will be treated fairly and in an arms length manner.

7. The Cami?s Seafood and Restaurant licenses will be probably sold in the near future. Although we are very happy with the operation of the chain , we have been advised by our Investment Bankers that it would be in the best interests of the company to dispose of this asset. We are presently having the licenses valued by an independent auditor in order to determine the sale price.

8. The supply of timber in Canada is not a problem in our opinion. The companies that harvest it will have to become more tuned in vis a vis the effect they have on the environment. In the short term prices may rise however the supply is directly related to construction. Our Opti Stress system is enviromently friendly. We take low grade lumber and remanufacture it to higher grade lumber. Our existing remanufacturing presently adds value equivalent to the processing of over 350,000 trees per year. This is a huge saving to the environment. Each Opti-Stress is projected to add value to the equivalent to the processing of over 2 million trees per year.

9. Value is presently interviewing two PR firms. We have not made a decision as of yet. We do not wish to be seen as promoters. We just want to increase our sales and have the company recognized as a major lumber distributor and sescondary wood processor across North America.

I believe these answers take care of most of the questions that were posted in one way or another. I cannot give you specific details on a lot of your queries since it is not my place to promote the company in a way that may affect the market. I also will not get into financial details unless of course you want to refer to historical results. I can tell you that I believe we have developed a strong management team that will take us into the 21st century effectively, profitably and professionally.
