Yes you are right. I knew that, for some reason I wrote it wrong. In both my examples, Lucent and Leap Wireless the shares were indeed given to existing shareholders.

A question for you. In a spin-off does the original company have to give all shares to existing shareholders in a ratio of ownership, or could they keep a large portion, say half, and divide the rest up pro-rata among the existing holders?
