I read it as saying that if someone else buys NN ALA gets newly issued shares in the 22% amount, at a guaranteed price of 50 canadian dollars and change. In addition, that TM will vote his shares for ALA purchase. The newly issued shares, however, don't have merger voting rights.

Soloman Smith Barney research is bullish on ALA but says that for "technical reasons" they won't upgrade with final opinion until mid year.

Hope optical switch announcement tomorrow has some teeth. ALA at 249 Euros last time I checked.
